CONFIRMING APPROVAL OF THE ISSUANCE OF ALBUQUERQUE BERNALILLO COUNTY WATER UTILITY AUTHORITY (THE "WATER AUTHORITY") SENIOR LIEN JOINT WATER AND SEWER SYSTEM REFUNDING AND IMPROVEMENT REVENUE BONDS, SERIES 2015 IN ONE OR MORE SERIES IN THE AGGREGATE PRINCIPAL AMOUNT NOT TO EXCEED $275,000,000 (THE "BONDS"); AND RATIFYING ACTION PREVIOUSLY TAKEN IN CONNECTION THEREWITH.

WHEREAS, pursuant to Section 72-1-10 NMSA 1978, the Board (the "Board") of the Albuquerque Bernalillo County Water Utility Authority (the "Water Authority") adopted Ordinance No. O-15-2 on February 25, 2015 (the "Bond Parameters Ordinance") authorizing the issuance of the Bonds to refund certain outstanding obligations of the Water Authority and to finance improvements to the Water Authority's joint water and wastewater system as described therein; and
BE IT RESOLVED BY THE WATER AUTHORITY:
The issuance of the Bonds in one or more series in an aggregate principal amount not to exceed $275,000,000 is authorized. All action heretofore taken by the Board and the officers of the Authority directed toward the financing of the Project, the issuance of the Bonds, the pledge of the Net Revenues and the adoption of the Bond Parameters Ordinance be, and the same hereby are, authorized, ratified, approved and confirmed. All capitalized terms shall have the same meaning as such terms have in the Bond Parameters Ordinance.
If any section, paragraph, clause or provision of the Confirming Resolution shall for any reason be held to be invalid or unenforceable, the invalidity or unenforceability of such section, paragraph, clause or provision shall not affect any of the remaining provisions of the Confirming Resolution.
The Confirming Resolution shall be in full force and effect immediately upon adoption.
